Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the https://shopsteem.com website (the “Service”, “Site”) operated by ShopSteem (“us”, “we”, or “our”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

Accounts

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Account Type

Our Site aims to connect our Store Vendors (“Seller”, “Vendors”) and Customers (“Buyers”).

Using ShopSteem

By using or accessing the Service you agree that you will not:

  • post, list or upload content or items in inappropriate categories or areas on our sites;
  • breach or circumvent any laws, third-party rights or our systems, policies, or determinations of your account status;
  • use the Service if you are not able to form legally binding contracts or are suspended from using the Site or Services
  • fail to pay for items purchased by you, unless you have a valid reason as set out in our Buyer’s Policy, for example, the seller as materially changed the item’s description after you bid or purchased an item, a clear typographical error is made, or you cannot contact the seller;
  • fail to deliver items sold for you, unless you have a valid reason as set out in a Vendor Policy, for example, the buyer fails to comply with the posted terms in your listing or you cannot contact the buyer;
  • manipulate the price of any item or interfere with any other user’s listings;
  • post false, inaccurate, misleading, deceptive, defamatory or libelous content;
  • take any action that may undermine the feedback or ratings systems;
  • transfer your ShopSteem account to another party without our prior knowledge and consent;

Transactions Between Buyers and Sellers

Through the Service, we provide an electronic web-based platform for exchanging information between buyers and sellers of products and services. ShopSteem additionally provides electronic web-based transaction platforms for users to place, accept, conclude, manage and fulfill orders for the provision of products and services online within the Sites subject to the Transaction Services Agreement.

Relationship with ShopSteem

ShopSteem does not represent either the seller or the buyer in specific transactions. ShopSteem does not control and is not liable to or responsible for the quality, safety, lawfulness or availability of the products or services offered for sale on the Sites or ability of the Sellers.

Additionally, we are not a party to the dealings between buyers and sellers, including posts, proposals, products, screening, selection, contracting, and performance . We merely make the Site available to enable Customers to identify and determine the usefulness and value of Vendor products. ShopSteem does not, in any way, supervise, direct, or control all Vendor offerings.

ShopSteem does not set shipping, cancellation or return/exchange policies for Vendors. Customers will be responsible for researching Vendors and making their own determination to a product’s safety, viability, legality, usefulness, design or any other quality of an offering.

ShopSteem does not deduct any amount for withholding, unemployment, Social Security, or other taxes for users. Users will be solely responsible for all tax returns and payments required to be filed with or made to any federal, state or local tax authority in any nation with respect to any user’s performance unless legally required to do so.

ShopSteem is not required to and may not verify any feedback or information given to us by Vendors or Customers, nor does ShopSteem perform background checks on Vendors or Customers.

Fees

The fees we charge for using our Service are listed on our Selling Fees page. We may change our seller fees from time to time by posting the changes on the ShopSteem site 14 days in advance, but with no advance notice required for temporary promotions or any changes that result in the reduction of fees.

If you are a seller, you are liable for transaction fees arising out of all sales made using some or all of the Services, even if sales terms are finalized or payment is made outside of ShopSteem.com. In particular, if you offer or reference your contact information or ask a buyer for their contact information in the context of buying or selling outside of ShopSteem, you may be liable to pay a final value fee applicable to that item, even if the item doesn’t sell, given your usage of the Service for the introduction to a buyer.

You must provide a payment account on file when selling through ShopSteem and pay all fees and applicable taxes associated with our Service by the payment date. If your payment method fails or your account is past due, we may collect amounts owed by charging other payment methods on file with us, retain collection agencies and legal counsel, and, for accounts over 60 days past due, relinquish and deposits made. In addition, you will be subject to late fees. ShopSteem, or the collection agencies we retain, may also report information about your account to credit bureaus, and as a result, late payments, missed payments, or other defaults on your account may be reflected in your credit report. If you wish to dispute the information a collection agency reported to a credit bureau regarding your account, you must contact the collection agency directly.

Copyright Complaints

If you believe that your work has been copied in a way that constitutes copyright infringement, please notify our team by emailing DMCA@shopsteem.com. You’ll want to provide the following information:

  • A physical signature of the person authorized to act on behalf of the owner of the copyright interest;
  • A description of the copyrighted work that you claim has been infringed upon;
  • A description of where the material that you claim is infringing is located on the site;
  • Your address, telephone number, and e-mail address;
  • A statement by you that you have a god-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or an authorized to act on the copyright owner’s behalf.

Disclaimer of Warranty; Limitation of Liability

(A) You expressly agree that you use this Site at your own risk. The content at this Site is not promised or guaranteed to be correct, complete, or up-to-date. This site is provided on an “as is” and “as available” basis without express or implied warranties of any kind, including but not limited to: implied warranties of merchantability or fitness for a particular purpose, warranties of title, or warranties of non-infringement.

(B) Neither this Site, its affiliates, nor any of their respective employees, agents, third-party content providers, or licensors warrant that this Site will be uninterrupted or error free; nor do they make any warranty as to the results that may be obtained from use of this Site, or as to the accuracy or reliability of any of the content provided on or through this Site.

(C) This Site, its suppliers, any person or entity involved in creating, producing or distributing this site, or other third parties mentioned at this site, are not liable for any damages whatsoever. Such damages include, without limitation: any indirect, incidental, special, consequential or punitive damages; damages resulting from lost profits, lost data, or business interruption; or any other damage resulting from the use, inability to use, or the results of use of this Site, any websites linked to this Site, or the materials or information or services contained at any or all such sites, whether based on warranty, contract, tort or any other legal theory, and whether or not this Site has been advised of the possibility of such damages. If your use of the materials, information or services from this Site results in the need for services, repair, or correction of equipment or data, you assume all costs thereof. Applicable law may not allow the exclusion or limitation of incidental or consequential damages, so these limitations or exclusions may not apply to you.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Kentucky, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
